Now the company can apply for EPFO/ESI, and GST numbers as well with this single window form. It is mandatory for all companies as per the directives of the Ministry of Corporate Affairs the issue PAN, TAN, EPFO, ESIC, Profession Tax (Maharashtra), and Opening of Bank Account.

SPICe Plus Form: Features Released by MCA
The government has released the complete significant features of the SPICe Plus form (SPICe+) in order to clarify the importance of the form as well as make an initiative for good awareness. SPICe Plus form (MCA Form SPICe+) is said to dedicate 10 services via 3 central govt ministries and departments (Ministry of Labour & Department of Revenue in the Ministry of Finance, Ministry of Corporate Affairs).
The new SPICe form is said to save valuable time and procedure maintenance of the concerned people and has been incorporated for all the new companies from 23rd February. Key features of SPICe Plus form:
DIN: The SPICE+ form incorporates the application process for obtaining a Director Identification Number (DIN) for prospective directors.
Incorporation Application: The primary objective of SPICE+ is to facilitate the application for company incorporation, encompassing essential details such as company type, capital structure, registered office address, and other pertinent information.
MoA and AoA: SPICE+ integrates the Memorandum of Association (MoA) and Articles of Association (AoA) forms into a single filing, enhancing user convenience by consolidating the submission of essential documents.
Name Reservation: Within the SPICE+ form, users can request name reservations utilizing the integrated RUN (Reserve Unique Name) service. This feature allows users to suggest a name and verify its availability, all within the confines of the same form.
e-MoA and e-AoA: SPICE+ enables the digital submission of both the Memorandum of Association (MoA) and Articles of Association (AoA) alongside the option for physical submission.
Bank Account Open: SPICE+ simplifies the process of opening a bank account by supplying pertinent details to the bank, along with the Certificate of Incorporation.
GSTIN: Within the SPICE+ form, there is a designated section for applying for GST registration, where applicants can furnish the required details.
AGILE-PRO for TAN, PAN, ESIC, and EPFO Registrations: SPICE+ consists of the AGILE-PRO form for the integrated registration of PAN (Permanent Account Number), TAN (Tax Deduction and Collection Account Number), and registrations under the Employees’ State Insurance Corporation (ESIC) and Employees’ Provident Fund Organization (EPFO).
Common Application for Company Incorporation DIN, PAN, TAN, ESIC, EPFO Registrations: SPICE+ simplifies the company incorporation process by consolidating various applications into a single form, thereby minimizing the requirement for multiple filings.
Bank Account Number: When incorporating a company as a partnership or sole proprietorship, SPICE+ permits applicants to furnish bank account details directly within the form.
Professional Tax Registration (Maharashtra): The SPICE+ form consists of the option to apply for Professional Tax registration in Maharashtra.
Stamp Duty Payment: SPICE+ facilitates the payment of stamp duty through the MCA portal, simplifying the procedure for authenticating documents and agreements associated with the incorporation of a company.
About MCA SPICe INC 32 Form
SPICe is an abbreviation for Simplified Proforma for Incorporating a Company Electronically and as the name suggests it is an application form for incorporating/registering a company with MCA. The company here means any kind of firm may it be a Private limited company, Public Limited Company, One Person Company, Nidhi Company, Section 8 Company or Producer Company. Such companies are registered to MCA via a pdf form known as Spice Form.
The Ministry of Corporate Affairs (MCA) has declared the rollout of the new form of the same genre. MCA has confirmed the Form SPICe Plus which is an allay to the businesses in terms of Easy Business Initiatives. This new format is popularly known as MCA form SPICe Plus or SPICe + which is a replacement for the old SPICe form that was supposed to be uploaded in a PDF format. With the halt in the old system, the new SPICe Plus Form is now a web-based version.
Introduction to Web-based SPICe + Filing Form Under MCA
SPICe Plus apart from being an advanced version of the existing SPICe, the form is capable of serving multiple requirements like name reservation, incorporation, DIN allotment, mandatory issue of PAN, TAN, EPFO, ESIC, Profession Tax (Maharashtra) and Opening of Bank Account. One can even acquire the GSTIN via SPICe + form.
Now Reserve Unique Name of RUN is significant only if a company wishes to replace its existing name with the new one.

MCA Notifications Related to SPICe Plus Form
Government via its recent notifications has announced the arrival of SPICe Plus features which is a 2.0 version of the existing SPICe Form:
- The Government is bringing in the advanced integrated form SPICe+ as a part of India’s Ease of Doing Business (EODB) initiatives. MCA has announced the launch of this advanced form that will facilitate the users with far more options than the current SPICe Form. As soon as the commencement of the new form is confirmed, the entire new name reservations, as well as company incorporation, will only be applied via SPICe Puls
- As the new form is still to be implemented, if reservation or incorporation of company names are in the process via RUN then those may continue to be filed in SPICe form (along with other required documents)
- If any form is currently marked for resubmission the same can be re-submitted via the existing SPICe form along with the relevant documents required for the same
- Owing to some alterations in the existing Reserve Unique Name (RUN) web service, the Re-submission option for name reservation is restricted starting from 1 Feb 2020 for approx 15 days
- As the RUN web services are undergoing the changes, it is advised to the stakeholders to either delay their application for names till the new MCA form SPICe + is implemented or be extra conscious while submitting an application for name reservation or change through the current RUN services
- Any RUN application received after 1 February 2020, shall either be approved or rejected based on the checkmarks given by the Central Registration Centre (CRC) officers under the jurisdiction of MCA
New Company Incorporation Full Process Under SPICe Plus Form
Step 1: Under ‘MCA Services’ the feature ‘SPICe+’ is listed.
Step 2: On tapping SPICe+ the subsequent screen shows.
Step 3: On opting new application, the subsequent page mentioned below
Step 4: When you have an existing application one would opt for the existing application feed in the application number and the suggested or accredited name type of company shows the choices from
Step 5: Company class poses the below options:

Step 8: Subsequently we need to opt for the main division of the industrial activity of the company stated in the code of industrial activities. For instance, if you opt for 01, a business description will be auto-populated as the description of the major division.
Subsequently, the particulars of the suggested or accredited name will be mentioned. For the initial level, the automatic scrutiny we need to tap the auto check the suggested or accredited name as per the rules within the laws controlling the name. We need to submit Part A towards the reservation of name or move with the incorporation.
On selecting to move to the incorporation Part B gets enabled. There are different sections inside Part B within the validation to check the form towards each section.
The information needed for the enrollment is listed in the paragraphs above and is required to be inserted. The information indeed consists of:
- Address of the registered company office
- Proposed directors & subscribers
- Capital of the company
- Additional information to apply for tax registrations such as PAN and TAN
One is needed to upload the documents needed to enroll written in the paragraphs above.
Need to do a ‘pre-scrutiny’ check. Once the ‘pre-scrutiny; is successful, click on ‘submit’. A confirmation is displayed upon successful submission of the form.
Subsequently, one is needed to download the PDF of Part B submitted towards affixing the DSC and for filling up any linked forms along with Part B. The form associated with the SPICe+ is AGILE-PRO, SPICe+MoA and SPICe+AoA, URC-1, and INC-9. On the MCA portal, part B of the SPICe+ and associated forms will be uploaded. For the company incorporation, a service request number is generated to build the payment. After the payment is made successfully the forms shall be moved forward.
Towards the case in which the forms required the resubmission any glitches interrupted on processing the SPICe plus form under MCA has to be resubmitted in a similar way.

I am trying to get a Pvt Ltd Company registered with 2 Directors – one Director being a resident Indian national and the other Director a Foreign national.
We have already submitted apostilled AoA and MoA with two subscription sheets each in AoA and MoA – one subscription sheet signed by both the Directors and an Indian CA and the other subscription sheet signed by both the Directors and signed by Notary (of a foreign country) and apostilled (by a foreign country).
After submission, I have a got a re-submission asking for “Subscriber sheet of MoA & AoA of foreign national should be separately attached.”
Please clarify as to how to correct this, and what MCA means by attaching the sheets separately.

I am getting same error. I guess both directors name as per Aadhaar must exactly match with PAN e.g.First Name, Middle Name and Last/surname since Agile Pro S concerns GSTN registration which is required Aadhaar authentication. I am also trying the same since one of the director credentials are not matching exactly with Aadhaar though it is linked with PAN. Once clicked I post my comment. Meanwhile, try to apply name correction of directors as per Aadhaar to the PAN through online.

Do not attach MOA & AOA to web form. keep them blank. Once you are done with filling of web form SPICE + then it will automatically give you form e-MOA & e-AOA for filling and downloading.
DSC is not attached for PAN (PAN NO) in form AGILE.

Yes, you can raise the tick to CRC (immediate) and request for an extension.
apply without name reservation, since the name reservation was approved earlier that means there are no issues with the existing company/LLP name or trademark.
Simply apply without name reservation, your SPICe will be approved.

I’ve submitted the SPICe+ form and downloaded the PDFs. While uploading the forms, the error comes as – “DSC not attached in MoA for PAN xxxxxxxx”, whereas form is complete in all aspects.
I’ve resubmitted the MoA and downloaded the PDF again, now it is throwing error even while affixing DSC. While affixing the DSC in SPICe+MoA, the file gets corrupt, and force closes.

for each file even when I have kept the file name under 25 characters.

please keep the name of your file at a very short name like ABCD OR AB123 OR whatever 4 -5 letters only ….it may work then

1) If we are forming a new private limited company limited by shares which would have 2 directors (A and B). The first director/promoter (A) has DIN and the other one (B) does not have DIN. Now SPICE+ Part B would ask attachment of Applicant 1 only, not of Applicant 2. Please tell me in point 12 of attachments of SPICE + Part-B, which one is Applicant 1.
2) In point 8, if director A has an interest in LLP and he is a director in any other company also then what supportive docs are required in this point to be attached.
Applicant 1 will be the person who does not have DIN.

Hi, I have received an email from MCA for resubmission. I had filled a new company (OPC) through SPICE+. Now for resubmission, I don’t know which forms to download and upload. it is confusing.

There is resubmission in my spice+ form but the following error is displaying “Mode of PDF eform cannot be changed for Resubmission. Upload SPICe+ PDF in the case originally submitted using web service, else use SPICe pdf.”

you should re-submit Spice+ web form in the portal along with all the forms like Spice+ Part B, AGILE-PRO and INC 9 in the same order.
First, you go to Spice+ form and select Existing application and edit the form on which you need to make corrections then you need to Prescrutiny all the form once again. An important matter is that you need to Prescrutiny the for in the below manner.
1st- Spice+ Part B
2nd spice+ Moa
3rd spice+ Aoa
4th – AGILE-PRO
5th – INC-9
Try this way you can not change the order of Form while uploading

We are trying to incorporate a company through spice plus, but we are facing so many difficulties, 1.most of the times after login to the mca portal it will redirect to an error page, 2. when we are trying to upload the attachments in the form which is not happening, even if the attachments are uploaded, they are not visible after downloading the pdf, the same issue even with after trying with internet explorer 11, kindly help us
This is MCA related issue. kindly raise a ticket for the same on MCA.

Login Issue- First you delete all your browsing history and cookies from your browser (Microsoft Edge is recommended if you have Windows 10) and install Java 8 run time environment and jdk1.6u30 of java developer kit.
Attachment issue- I don’t know which form you are using but for filing through Spice+ you should only use web form not a downloaded form and all the combined attachment should be less than 6MB and adobe reader should be latest one.

There is resubmission in my spice+ form but the following error is displaying “Mode of PDF eform cannot be changed for Resubmission. Upload SPICe+ PDF in the case originally submitted using web service, else use SPICe pdf.”

I am getting pre scrutiny error while resubmission of Spice+ PartB. Prescrutiny is an automatic process on all STP forms and without that Downloading of form couldn’t be possible. Do you know how to resolve this type of errors?
You need to prepare spice+ part b again from the portal and then resubmit the form. Kindly contact any practicing CA/CS for further information.
When you go for re-submission of Form Spice+ Part B you need to Prescrutiny all web From once again in the following order

and upload all the forms in the above order.
After successful of Prescrutiny you have to submit the form then only you can download the form and most important thing is that all combined attachment of each form should be less than 6MB if not you will face Prescrutiny error

No fee payment is required for the form

After Filing Spice+ form do we need to file form 20A, that is the commencement of business?

Yes, if your actual submission date between 15th Mar to 31st May then your last date of submission of Form Spice+ Part B is 20th June which was relaxed by MCA

PAN/TAN excelsheet is given in spice help form kindly refer the excelsheet provided in spice help for correct PAN/TAN CODE

Hello, as per the original notification, the SPICe+ form was dues to be launched on Feb 15th. It is still not out it seems. Am I right? And, if yes, by when are we expecting it to be out?

Yes, spice+ form is about to be deployed on 15th Feb but it is not launched yet. It is not given on mca that how much time it will take to launch spice+. Notification for the same is there on mca portal i.E
to reduce procedures, time and cost for all new company incorporations, spice+ and agile-pro would be deployed shortly. Till the deployment of new web forms, stakeholders may continue to use existing spice and agile forms.

I have a doubt in Spice+ Form, As per the notification and printed copies of form … ESI and EPF registration is mandatory in the upcoming form, What if the company does not cover into the Criteria for Registration of ESI and EPF
As per the notification on MCA, it is not written that ESI and PPF are mandatory to fill only PAN and TAN details are required to be filled mandatory. I have got the same question. I want to register a company my maz staff will be 5 and they will be paid more than Rs.30K per month. I should not have ESIC and EPF. why SPICE+ mentions that they are mandatory?
Sir, as per the notification it is mentioned that it will be mandatory to issue the PAN, TAN, EPFO, ESIC, and opening of the bank account. For further information kindly contact to practicing professional.
EPF & ESIC registration is mandatory in new spice form along with other newly introduced mandatory services like bank account opening etc. Post Incorporation you can file NIL return of PF & ESIC if the acts are not applicable in your case. But registration cannot be proceeded with in any case without it.
