MGT-7 Filing Error: ROC Imposes Penalty on Maharaja Polyfab Ltd. U/S 450

Cuttack ROC's Order No. PO/ADJ/06-2026/CT/02445 Against Maharaja Polyfab Limited

The Registrar of Companies (ROC) in Cuttack has imposed fines on the authorised signatory and the Company Secretary of Maharaja Polyfab Limited, an Odisha-based company that manufactures woven polypropylene packaging products. This action was taken because they submitted incorrect information in the company’s annual report for the fiscal year 2024-25. The decision was made based on specific provisions of the Companies Act, 2013.

As per the adjudication order dated 29 June 2026, the company had submitted a GNL-1 application asking for permission to consider its already approved MGT-7 as defective so that a revised form could be filed. The company considered that its Annual General Meeting (AGM) date had been inadvertently entered as 30 September 2025 instead of the actual AGM date of 25 September 2025, attributing the discrepancy to an inadvertent clerical or data-entry error.

It was observed by ROC that Rule 8(3) of the Companies (Registration Offices and Fees) Rules, 2014 makes the authorised signatory and the certifying professional liable for confirming the accuracy of the contents and attachments of e-forms. However, the company voluntarily revealed the mistake and requested an exemption or reduction of the penalty. The Registrar stated that the statutory obligation is on the individuals certifying the filing.

The ROC leniently eliminated the company from the list of defaulters and did not charge any financial penalty against it. Although a penalty of Rs 10,000 each was imposed on Ganesh Sharma, the authorised signatory, and Ashok, the Company Secretary in Practice, for breach of Rule 8(3) read with Section 450 of the Companies Act, 2013.

The order requires the noticees to pay the penalty within 90 days via the MCA e-Adjudication portal and mentions that the penalties levied on the officers should be paid from their personal sources. An appeal against the order can be submitted to the Regional Director, Hyderabad, within 60 days of receipt of the order.
