The Ministry of Corporate Affairs (MCA) has issued a public notice and a call for public comments regarding a proposed amendment to the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016.
This new amendment aims to expand the scope of fast-track mergers as outlined in Section 233 of the Companies Act, 2013, which allows certain companies to facilitate mergers or amalgamations with the approval of the Central Government (delegated to Regional Directors).

In line with Para 101 of the Union Budget Speech for 2025-26, the MCA department seeks to enhance the efficiency and accessibility of the merger process under the fast-track mechanism.
A draft notification, along with an explanatory note detailing the proposed changes, is available on the Ministry of Corporate Affairs website (www.mca.gov.in).
Stakeholders and interested parties are encouraged to submit their comments and suggestions on the draft amendment by May 5, 2025, via the e-Consultation Module hosted on the Ministry’s website.
