Big Compliance Relief: MCA Shifts Director KYC Filing to Once Every Three Years

MCA Notification G.S.R. 943(E): Director KYC Made Easier from March 31

The Ministry of Corporate Affairs (MCA) has announced new rules regarding the Appointment and Qualifications of Company Directors. These changes apply to directors who hold a Director Identification Number (DIN) under the Companies Act, 2013. The updated regulations aim to simplify compliance requirements for directors, making it easier for them to meet their responsibilities.

As per the official Gazette notification, the revision issued vide G.S.R. 943(E) will come into force from March 31, 2026.

Director KYC Filing Made Easy Form 31st March

An amendment has been rolled out via the substitution of Rule 12A is the revision in the frequency of Director KYC filing. From the rule change, every person who has a DIN as on 31 March of a financial year will not be required to file Form DIR-3-KYC Web once every three consecutive financial years, on or before 30 June of the pertinent year.

The same marks a transformation from the earlier annual DIR-3-KYC compliance requirement and can lessen the recurring compliance burden on directors.

Personal Details are Necessary for Filing on Change

Even after the relaxed periodic filing needs, the MCA has mentioned that the directors need to continue to submit DIR-3-KYC Web within 30 days in case of any change in:

  • Personal mobile number
  • Email address
  • Permanent or present residential address

These filings shall be as per the applicable fee mentioned in the Companies (Registration Offices and Fees) Rules, 2014.

DIR-3-KYC Web Form is Allowed

The use of e-Form DIR-3-KYC has been discontinued under the amendment, which makes DIR-3-KYC Web the only authorised mode for:

  • KYC compliance
  • DIN reactivation
  • Updating contact and address details

The same measure aligns with the digital-first compliance framework of MCA.

Revision in Regional Director Designation

The notifications update Rule 11, substituting the designation “Regional Director (Northern Region), Noida” with “Regional Director, Northern Region Directorate-I” across appropriate provisions.
What Directors must Note

  • DIR-3-KYC filing is now required once every 3 years
  • Mandatory filing within 30 days of a change in personal details
  • Only web-based DIR-3-KYC is permitted
  • Changes come into force from March 31, 2026

The objective of MCA has been specified under the amendment to facilitate the director’s compliance while keeping updated and verified DIN records.
