MCA Companies Compliance Facilitation Scheme 2026

MCA Circular No. 01/2026: Companies Compliance Facilitation Scheme, 2026

The Ministry of Corporate Affairs has launched a new scheme called the CCFS-2026 (Companies Compliance Facilitation Scheme, 2026). This gives companies a special chance to catch up on any late paperwork they need to file, while paying much lower fees than usual. It also encourages businesses that are not currently active to either officially pause their operations or go through the process of closing down.

This decision is for improving compliance levels while lessening the financial burden caused by heavy penalties on late filings under the Companies Act, 2013.

Reason to Introduce the CCFS-2026

In the present rules, it is crucial for the companies to submit the annual returns as well as financial statements within the specified durations. If it is not within the said time, then an additional late fee of Rs 100 per day, with no upper cap, shall be charged, imposing penalties for businesses.

With India’s active companies exceeding the 20 lakh mark and a surge in startups, Micro, Small, and Medium Enterprise (MSME), and new-age entrepreneurs, the government received representations requesting fee relief. The motive of the scheme is to support such companies and promote seamless operations of business.

CCFS 2026 Key Highlights

Below we have mentioned the highlights of the company’s compliance facilitation scheme, 2026:-

Strike-Off Option

Companies desiring closure can apply for strike-off via Form STK-2 by paying just 25% of the applicable filing fee during the scheme period.

Chance to Evolve a Dormant Organisation

Inactive companies by filing Form MSC-1 and paying only half of the normal filing fee can apply for dormant status, permitting them to stay registered with minimal compliance pre-requisites.

Additional Fees Relief

Companies can pay only 10% of the total additional fees instead of the full penalty amount to complete pending annual filings.

Duration of CCFS 2026 Scheme

From 15 April 2026 to 15 July 2026, the scheme will be operational, giving companies a three-month window to regularise their compliance status.
