The Central Government makes the following rules for the revision of the Companies (Incorporation) Rules 2014, which may be called Companies (Incorporation) Third Amendment Rules 2022. They would get effective from the date 18/08/2022. In the Companies (Incorporation) Rules 2014, post to Rule 25A, the next rule will be inserted.
In Accordance With Rule 25B, the Registered Office of the Company Must be Physically Verified
The registrar relying on the details or documents which would be available on the new MCA 21 portal will visit the address of the registered office of the company. It might cause the physical verification of the mentioned registered office for the intention of sub-section 9 of section 12.
When the registered office of the firm would be discovered not able to obtain and consider all the communication and notices the registrar will issue the notice to the company and all the directors of the company of his purpose to eliminate the company name from the registrar of companies and asking them to provide their representations as well as the copies of the related documents in a 30 days duration from the date of notice prior to taking the action u/s 248.
Because of the above notification which is given via the Central Government in this revision the companies (Removal Of Name Of Companies from the Registrar of Companies) Rules 2016.

STK-1 Form in Paragraph (1) for the Words & Brackets
In STK-1 form in paragraph (1) for the brackets & words (tick whichever is applicable) the mentioned would get replaced like:
- The company does not keep any business or functions which would be found after the physical verification maintained beneath sub-section (9) of section 12.
- In form STK-5, in paragraph 1, after sub-paragraph (iii) and prior to the long line the following would get inserted such as:
- The below-mentioned companies would not be kept on any businesses or functions specified post to the physical verification maintain under sub-section (9) of section 12.
- In Form No. STK-5A in paragraph 1 for paragraph 1, for the brackets and words (Strike off whichever is not applicable) the specified will get replaced such as.
- It does not hold any business or function specified post to the physical verification maintained under sub-section (9) of section 12.
