MCA Alert: Don’t Miss the Filing Deadline for LLP-8 & NDH-3

Deadline Alert: File NDH-3 and LLP-8 Forms by October 30

A reminder has been sent by the Ministry of Corporate Affairs (MCA) to all the stakeholders for the forthcoming due date for filing the two essential regulatory forms. October 30, 2025, is the deadline for filing Form LLP-8 and Form NDH-3.

Limited Liability Partnerships (LLPs) need to file Form LLP-8 annually. It is the statement of Account and Solvency. The same form includes information about the financial position of the LLP, including its assets, liabilities, income, and expenditure, along with a declaration for its solvency.

Under the Limited Liability Partnership Act, 2008, the filing is an obligatory compliance mandate. Fees and penalties will be levied if the form is submitted late.

Form NDH-3 is a half-yearly return that needs to be filed by all Nidhi Companies. It secures information on the number of members, total deposits accepted, loans disbursed, and reserves maintained.

The form assures that Nidhi Companies follow the specified ratios of net owned funds to deposits and maintain clarity in their operations. The same form is made with data extracted from the financial records of the company and needs to be certified by a practising professional.

Access to the MCA21 portal is needed to file such forms, where entities should log in using their valid credentials. The forms required to get finished with the help of the MCA’s e-form utility, validated, digitally signed, and uploaded with applicable fees. Before beginning the procedure, it is crucial to ensure that Digital Signature Certificates (DSCs) of the partners or directors are active.

All LLPs and Nidhi Companies are advised under MCA to finish the filing before the due date to prevent last-minute hurdles and technical problems on the MCA portal. Companies and partnerships can encounter late fees from delays in submissions. The fees can be collected quickly with non-compliance notices.
